Employment Agreement

 

第六条(劳动保护、劳动条件和职业危害防护)Article 6 Labor Protection, Working Condition and Prevention against Occupational Hazard

(一)乙方享有甲方提供的相应的劳动保护和劳动条件。

(二)乙方享有甲方执行的国家劳动标准提供的职业危害防护条件。

6.1 Party B is entitled to the corresponding labor protection and working condition by provided by Party A.

6.2 Party A shall provide Party B with preventing conditions against occupational hazard in accordance with the State’s labor standard.

第七条 (劳动纪律和规章制度)Article 7 Labor Discipline and Regulations and Rules

(一)甲方应根据国家有关法律、法规,依法制定各项规章制度。

(二)乙方应诚实守信,自觉遵守国家的法律、法规和社会公德、职业道德,

自觉维护甲方的声誉和利益,保守甲方秘密。

(三)甲方有权根据乙方的表现或行为,依据国家的法律、法规、行政规章和甲方的规章制度,给予乙方相应的奖励或处理。其中:

1、乙方如发生符合甲方《职工奖励办法》规定的积极行为的,甲方可以按照《职工奖励办法》给与乙方奖励;

2、乙方如发生违反甲方规章制度的消极行为的,甲方有权按《职工违规处理办法》给与处理。

7.1 Party A shall formulate various regulations and rules in accordance with the State’s laws and regulations.

7.2 Party B shall deport himself with sincerity and good faith, abide by the State’s laws and regulations and social ethics and professional ethics, maintain Party A’s reputation and interests initiatively and keep secret Party A’s confidential information.

7.3 Party A may award or treat Party B as follows in the light of Party B’s performance and acts and in accordance with the State’s laws, regulations and administrative rules and Party A’s regulations and rules.

1) If Party B has any positive actions deserving award as provided in Party A’s Rules of Awarding Employees, Party A may award Party B in accordance with the Rules of Awarding Employees.

2) If Party B has committed any actions in breach of Party A’s regulations or rules, Party A may treat him or her in accordance with the Rules for Treatment of Employees in Breach of Regulations.

 

第八条(教育与培训)Article 8 Education and Training

(一)甲方可以根据工作需要不定期地对乙方进行所必须的教育与培训。

(二)乙方应参加甲方的各项教育与培训安排。

(三)凡由甲方出资培训乙方,双方另行签订《培训/教育协议》,因乙方原因而提前解除劳动合同,乙方应赔偿甲方的培训等费用,具体赔偿标准执行《培训/教育协议》的约定。

8.1 Party A may educate or train Party B irregularly when necessary in the light of the working requirements.

8.2 Party B shall participate in all the education and training courses arranged by Party A.

8.3 Where Party A invests in training of Party B, the two parties shall conclude agreement for education/training separately; if this Employment Agreement is terminated earlier than originally stipulated for reasons attributable to Party B, Party B shall compensate Party A the training fee in accordance with the stipulations in such agreement for education/training.  

 

第九条(保密约定)Article 9 Confidentiality

(一)双方签订本合同后,乙方应遵守甲方《保密条例》,不得泄露甲方秘密,不得在合同期内再受聘其他任何单位从事与甲方相同或类似或有竞争冲突的业务。不得引诱甲方的其他在职职工离职。

9.1 Party B shall, after signing of this Agreement, observe Party A’s Confidentiality Rules, and may not disclose any of Party A’s confidential information; during the validity term hereof, Party B may not engage in any business similar with or in competition with Party A’s business for any other employer, and Party B may not induce other employees working for Party A to resign from Party A.

(二)乙方在合同期内,属其岗位职务行为或主要利用甲方的物质技术条件所产生的所有专利、版权和其他知识产权归甲方所有,乙方无权进行商业性开发。

9.2 Any and all patents, copyrights and other intellectual property rights produced by Party B as his or her work duty or mainly by utilizing Party A’s material during the validity term of this Agreement shall be Party A’s property, and Party B is not entitled to any commercial rights pertaining thereto.

(三)甲乙双方另订《保密协议》,具体确定双方的权利义务。乙方在本合同存续期间和终止解除后承担甲方《保密协议》中规定的保密义务。

9.3 Party A and Party B are to enter into Non-disclosure Agreement separately, so as to stipulate the obligations and rights of the two parties. During the validity term of this Agreement and after the termination hereof, the confidentiality obligation stipulated in the Confidentiality Agreement has binding force upon Party B.

(四)乙方如在本合同存续期间,违反《保密协议》约定的,视作违纪行为,按《职工违规处理办法》有关规定处理。

9.4 If, during the validity term of this Agreement, Party B breaches the Confidentiality Agreement, Party B shall be deemed as having breached Party A’s disciplines and is to be treated in accordance with the Rules for Treatment of Employees in Breach of Regulations.

(五)乙方因违约给甲方造成经济或名誉损失的,应承担侵权赔偿责任,甲方有权利向乙方追偿经济损失。

9.5 If Party B breaches this Agreement and thereby causes any economic loss or reputation loss, Party B shall bear the liability therefor and Party A may have the right of recourse against Party B for any economic loss.
